Appie Terms of Use

These Terms of Use govern access to and use of Appie, including its website, applications, software, interfaces, features, templates, tools, content, and related services collectively referred to as the “Service.”

The Service is owned and operated by Hovan Boyajian, referred to in these Terms as “Appie,” “we,” “us,” or “our.”

By accessing, viewing, testing, receiving, sharing, or using the Service, you agree to these Terms. If you do not agree, you may not access or use the Service.

1. Eligibility and Authority

You must be at least 13 years old, or the minimum age required by applicable law, to use the Service. If you are under the age of legal majority where you live, you may use the Service only with permission from a parent or legal guardian.

If you use the Service on behalf of a company, organization, or other entity, you represent that you have authority to accept these Terms on its behalf.

2. Limited Permission to Use Appie

Subject to your continued compliance with these Terms, Appie grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service solely through the interfaces and methods that Appie makes available.

This license permits you to use Appie for its intended purposes. It does not transfer ownership of Appie, its software, its design, its content, or any underlying intellectual property to you.

Unless Appie provides separate written permission, you may not use the Service or any part of it to create, support, market, or operate a competing product or service.

3. Ownership of Appie

Appie and its licensors retain all rights, title, and interest in and to the Service, including:

  1. source code and object code;
  2. software architecture and technical methods;
  3. workflows, systems, prompts, instructions, and processes;
  4. visual designs, layouts, graphics, icons, animations, and interfaces;
  5. databases, data structures, organization, and compilations;
  6. product names, logos, branding, and trade dress;
  7. documentation, written content, templates, and examples;
  8. features, functionality, selection, arrangement, and presentation; and
  9. all improvements, modifications, updates, and derivative works.

The Service may be protected by copyright, trademark, trade-secret, contract, and other intellectual-property laws.

No rights are granted except those expressly stated in these Terms.

4. Restrictions Against Copying and Competitive Use

Without Appie’s prior written permission, you may not, directly or indirectly:

  1. copy, reproduce, republish, download, distribute, transmit, display, sell, license, rent, lease, assign, or commercially exploit any protected part of the Service;
  2. reproduce or imitate Appie’s user interface, layouts, appearance, branding, interactions, workflows, or distinctive product experience;
  3. create a clone, substitute, derivative product, competing service, or substantially similar application based on Appie;
  4. reverse engineer, decompile, disassemble, decode, translate, or otherwise attempt to discover the Service’s source code, object code, algorithms, architecture, prompts, security controls, or internal methods;
  5. inspect, capture, copy, extract, or reconstruct Appie’s source code, network activity, application logic, hidden instructions, databases, or nonpublic technical information;
  6. use screenshots, recordings, demonstrations, documentation, prototypes, previews, or access credentials to recreate or assist another person in recreating the Service;
  7. remove, hide, crop, obscure, modify, or bypass any copyright notice, trademark notice, attribution, watermark, access control, or proprietary-rights notice;
  8. use Appie’s name, logo, branding, domain names, or confusingly similar branding without written permission;
  9. access the Service for the purpose of benchmarking, competitive analysis, product development, training a competing system, or evaluating how to reproduce Appie;
  10. use Appie content, screenshots, outputs, designs, workflows, or data to train, fine-tune, test, evaluate, or improve an artificial-intelligence system without written permission;
  11. share private previews, beta access, demonstrations, credentials, or restricted materials with unauthorized persons;
  12. assist, encourage, direct, or enable another person to perform any restricted activity; or
  13. claim ownership of Appie or falsely suggest that you created, sponsored, endorsed, or are affiliated with the Service.

These restrictions apply regardless of whether the copying or competitive use is performed manually, automatically, through artificial intelligence, or through a third party.

Nothing in these Terms restricts rights that cannot lawfully be restricted under applicable law.

5. No Scraping or Automated Access

Unless Appie gives prior written permission, you may not use any robot, scraper, crawler, spider, browser automation, script, data-mining tool, artificial-intelligence agent, automated process, or similar technology to:

  1. access or interact with the Service;
  2. create accounts or submit requests;
  3. collect or extract information;
  4. copy content, outputs, listings, designs, or data;
  5. monitor performance, availability, pricing, or functionality;
  6. bypass rate limits or technical restrictions; or
  7. build a database, dataset, index, archive, model, feed, or competing service.

You may not attempt to obtain access through an interface or method that Appie has not intentionally provided.

6. Confidential and Preview Access

Appie may provide private demonstrations, prototypes, beta versions, test environments, unreleased features, early-access materials, or confidential information.

Unless Appie states otherwise in writing, all nonpublic information disclosed through private or restricted access must be treated as confidential.

You may use confidential information only to evaluate or use Appie for its intended purpose. You may not disclose it to another person or use it to create or improve another product.

Confidential information includes nonpublic designs, roadmaps, pricing, business plans, code, workflows, prompts, technical methods, customer information, analytics, and product concepts.

Your confidentiality obligations continue after your access ends.

7. Accounts and Access Credentials

You are responsible for maintaining the confidentiality of your login credentials and for activity performed through your account.

You may not:

  1. share credentials with unauthorized persons;
  2. sell, transfer, rent, or sublicense an account;
  3. create accounts using false or misleading information;
  4. access another person’s account without permission;
  5. bypass account restrictions, invitations, subscription limits, or access controls; or
  6. allow another person to use your account to avoid fees or restrictions.

You must notify Appie promptly at hovatar@gmail.com if you believe an account or credential has been compromised.

8. Acceptable Use

You may not use the Service to:

  1. violate any law, regulation, court order, or third-party right;
  2. infringe copyright, trademark, privacy, publicity, confidentiality, or other proprietary rights;
  3. upload malware, malicious code, or harmful content;
  4. interfere with, damage, overload, disable, or disrupt the Service;
  5. probe, scan, test, or exploit a vulnerability without written authorization;
  6. bypass authentication, usage limits, security systems, or protective measures;
  7. impersonate another person or misrepresent your identity or affiliation;
  8. harass, threaten, defraud, deceive, or harm another person;
  9. transmit unlawful, abusive, hateful, defamatory, or exploitative content;
  10. use Appie for unauthorized surveillance or collection of personal information;
  11. send spam or unsolicited commercial communications; or
  12. use the Service in a manner that creates legal, security, reputational, or operational risk for Appie or its users.

9. User Content

“User Content” means information, files, text, images, prompts, data, or other materials that you submit through the Service.

As between you and Appie, you retain ownership of your User Content, subject to the rights needed for Appie to operate the Service.

You grant Appie a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, modify, and otherwise use User Content only as reasonably necessary to:

  1. provide and operate the Service;
  2. fulfill your requests;
  3. maintain security and prevent abuse;
  4. troubleshoot and provide support;
  5. comply with legal obligations; and
  6. improve the Service, but only to the extent described in the Appie Privacy Policy and your applicable settings.

You represent that you have all rights and permissions necessary to submit your User Content and grant this license.

You remain responsible for your User Content and for ensuring that it does not violate any law or third-party right.

10. Appie Outputs

The Service may generate, organize, transform, or display content based on user instructions or data.

Appie does not guarantee that outputs are accurate, complete, unique, lawful, non-infringing, or suitable for a particular purpose. Similar outputs may be generated for different users.

You are responsible for reviewing outputs before relying on, publishing, distributing, or using them.

Ownership of an output does not include ownership of Appie’s software, interface, templates, methods, workflows, branding, or underlying technology.

11. Feedback

You may provide suggestions, ideas, comments, or feedback about Appie.

You grant Appie a perpetual, worldwide, irrevocable, royalty-free, transferable, and sublicensable right to use, modify, commercialize, and incorporate that feedback without payment or obligation to you.

This section does not transfer ownership of User Content submitted for use within the Service.

12. Third-Party Services

The Service may connect to or contain links to third-party products, websites, platforms, payment processors, hosting providers, artificial-intelligence providers, or other services.

Appie does not control third-party services and is not responsible for their content, security, availability, conduct, or privacy practices. Your use of a third-party service may be governed by separate terms and privacy policies.

13. Copyright and Intellectual-Property Complaints

Appie respects the intellectual-property rights of others.

To report alleged infringement involving the Service, send a written notice to Hovan Boyajian at hovatar@gmail.com.

The notice should include:

  1. identification of the protected work;
  2. identification and location of the allegedly infringing material;
  3. your name and contact information;
  4. a statement that you have a good-faith belief that the use is unauthorized;
  5. a statement that the information in the notice is accurate and that you are authorized to act for the rights holder; and
  6. your physical or electronic signature.

Appie may remove content, restrict access, or terminate repeat infringers where appropriate.

14. Protection and Enforcement of Appie Rights

You acknowledge that unauthorized copying, disclosure, reverse engineering, distribution, or competitive use of Appie may cause harm that cannot be adequately compensated by money alone.

To the extent permitted by law, Appie may seek injunctive relief, an order preventing continued misuse, removal of copied materials, preservation of evidence, monetary damages, recovery of profits, and any other available remedy.

Appie’s failure to enforce a provision immediately does not waive its right to enforce that provision later.

15. Suspension and Termination

Appie may investigate suspected violations and may restrict, suspend, or terminate access if Appie reasonably believes that you:

  1. violated these Terms;
  2. created legal, security, or operational risk;
  3. copied or attempted to copy the Service;
  4. misused confidential information;
  5. infringed intellectual-property rights; or
  6. used the Service fraudulently or unlawfully.

Appie may also preserve relevant account and usage information as permitted by law for security, enforcement, dispute resolution, and legal compliance.

Upon termination, your license to use the Service ends immediately.

Sections concerning ownership, confidentiality, restrictions, feedback, disclaimers, liability, indemnification, dispute resolution, and enforcement survive termination.

16. Service Changes and Availability

Appie may add, change, restrict, suspend, or discontinue features or portions of the Service.

Appie does not guarantee that the Service will always be available, uninterrupted, secure, error-free, or compatible with every device or system.

Appie may release updates, security patches, or modified versions of the Service.

17. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”

APPIE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, SECURITY, AND AVAILABILITY.

APPIE DOES NOT WARRANT THAT:

  1. THE SERVICE WILL MEET YOUR REQUIREMENTS;
  2. THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE;
  3. OUTPUTS OR INFORMATION WILL BE ACCURATE OR COMPLETE;
  4. DEFECTS WILL BE CORRECTED;
  5. DATA WILL NEVER BE LOST OR ACCESSED WITHOUT AUTHORIZATION; OR
  6. USE OF THE SERVICE WILL PRODUCE A PARTICULAR RESULT.

Some jurisdictions do not permit certain warranty exclusions, so some exclusions may not apply to you.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, APPIE AND ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS INCLUDES LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, CONTENT, OR USE, EVEN IF APPIE WAS ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, APPIE’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID TO APPIE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  2. ONE HUNDRED U.S. DOLLARS.

These limitations do not apply where prohibited by law.

19. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Appie and its owners, affiliates, officers, employees, contractors, agents, licensors, and service providers from claims, liabilities, damages, judgments, losses, expenses, and reasonable attorneys’ fees arising from:

  1. your use or misuse of the Service;
  2. your User Content;
  3. your violation of these Terms;
  4. your violation of law;
  5. your infringement of another person’s rights; or
  6. your copying, disclosure, reverse engineering, distribution, or competitive use of Appie.

Appie may assume control of the defense of a matter subject to indemnification, and you agree to cooperate with that defense.

20. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Mandatory consumer protections that apply in your place of residence remain unaffected.

21. Informal Dispute Resolution

Before filing a formal legal claim, you and Appie agree to attempt to resolve the dispute informally.

The complaining party must send written notice describing:

  1. the party’s name and contact information;
  2. the relevant account information;
  3. the facts and basis of the dispute;
  4. the specific relief requested; and
  5. supporting documents.

Notices to Appie must be sent to hovatar@gmail.com.

The parties will have 30 days after receipt of the notice to attempt to resolve the dispute.

22. Venue

You and Appie consent to the exclusive jurisdiction of the state and federal courts located in California, except where applicable law allows you to bring a consumer claim elsewhere.

23. Changes to These Terms

Appie may update these Terms.

The updated Terms will state the date of the latest revision. Appie will provide reasonable notice of material changes when required by law.

Your continued use of the Service after updated Terms take effect constitutes acceptance of the updated Terms.

24. Assignment

You may not assign or transfer these Terms or your rights under them without Appie’s written consent.

Appie may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or transfer of the Service.

25. Severability

If a provision of these Terms is found invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable. If it cannot be modified, it will be severed.

The remaining provisions will remain effective.

26. Entire Agreement

These Terms, the Appie Privacy Policy, and any applicable supplemental terms constitute the entire agreement between you and Appie concerning the Service.
